These Terms of Use ("Terms") govern your access to and use of preoppartner.com, hub.preoppartner.com, and any related pages, content, videos, handouts, and materials (together, the "Sites"), operated by Anesthesia Knowledge Company LLC, a South Carolina limited liability company doing business as PreOp Partner ("PreOp Partner," "we," "us," or "our"). By accessing or using the Sites, you agree to these Terms. If you do not agree, do not use the Sites.
Medical disclaimer. The Sites provide general educational information only. They do not provide medical advice, diagnosis, or treatment, and nothing on the Sites creates a physician-patient relationship between you and PreOp Partner, Dr. Patrick Nailer, or any contributor. Your own surgical facility and care team's instructions always control. If any information on the Sites conflicts with an instruction from your care team, follow your care team. If you think you are experiencing a medical emergency, call 911 immediately.
All content on the Sites, including videos, handouts, answers, and any facility-branded versions of them (the "Content"), is provided for general education before and after surgery. The Content is not a substitute for professional medical advice and is not tailored to your individual medical circumstances. You agree not to rely on the Content in place of instructions from your own clinicians.
Where a surgical facility makes PreOp Partner materials available to its patients, that facility remains solely responsible for its own clinical policies, patient instructions, and care. Facility-specific values shown in the Content (such as fasting cutoffs, medication instructions, and arrival times) are supplied by the facility. Any services PreOp Partner provides to a facility are governed exclusively by a separate written agreement between PreOp Partner and that facility, not by these Terms.
The Sites and all Content, including text, scripts, videos, graphics, page designs, logos, and software, are owned by or licensed to PreOp Partner and are protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Content for personal, non-commercial purposes (or, for facility staff, for the facility's authorized internal use). You may not copy, reproduce, distribute, publicly display, modify, create derivative works from, sell, license, frame, scrape, or otherwise exploit any Content without our prior written consent.
You agree not to use the Sites in any way that violates law, infringes any rights of others, interferes with the operation or security of the Sites, or misrepresents the source of the Content.
THE SITES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED AVAILABILITY. We do not warrant that the Content is complete, current, or error-free.
TO THE FULLEST EXTENT PERMITTED BY LAW, PREOP PARTNER, ANESTHESIA KNOWLEDGE COMPANY LLC, AND THEIR MEMBERS, OFFICERS, EMPLOYEES, AND CONTRIBUTORS (INCLUDING DR. PATRICK NAILER) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITES OR CONTENT, UNDER ANY THEORY OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITES OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify, defend, and hold harmless PreOp Partner and Anesthesia Knowledge Company LLC, and their members, officers, employees, and agents, from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Sites, your violation of these Terms, or your violation of any rights of another.
Any dispute arising out of or relating to these Terms or the Sites will be resolved by binding arbitration administered by the American Arbitration Association under its rules, seated in South Carolina, before a single arbitrator. YOU AND PREOP PARTNER EACH WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Either party may bring an individual claim in small claims court instead. Any claim must be brought within one (1) year after it accrues or it is permanently barred, to the extent permitted by law.
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict of laws rules. Subject to Section 8, the state and federal courts located in South Carolina will have exclusive jurisdiction over any permitted court proceeding.
We may modify these Terms at any time by posting an updated version with a new effective date; continued use of the Sites after posting constitutes acceptance. We may suspend or terminate access to the Sites at any time, for any reason, without notice.
If any provision of these Terms is held unenforceable, the remainder will remain in full effect. These Terms, together with the Privacy Policy, are the entire agreement between you and PreOp Partner regarding the Sites. Our failure to enforce any provision is not a waiver.
